01. Preamble & Scope of Agreement
These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between Studio 4711 ("Studio 4711", "Company", "we", "our"), and the entity or enterprise subscriber ("Customer", "you", "your") accessing or utilizing the Studio 4711 platform, runtime fabric, APIs, SDKs, or associated services.
By executing an Order Form, provisioning an instance within the Studio 4711 console, or accessing our runtime endpoints via automated API tokens, you represent and warrant that you possess full corporate power and legal authority to bind your organization to these Terms.
02. Defined Terms
- "Forge Pipelines": The proprietary compilation, continuous evaluation, and deterministic lineage framework developed by Studio 4711.
- "Runtime Fabric": The distributed low-latency inference orchestration layer executing within isolated hardware enclaves and enterprise cluster topologies.
- "Customer Data": All electronic inputs, proprietary datasets, model parameters, embedding vectors, prompt templates, and execution telemetry transmitted by Customer into the Services.
- "Adaptive Models": In-memory or persisted statistical and neural weights deployed across Customer-isolated compute boundaries.
- "Compute Units (CU)": Standardized computational consumption metrics quantifying tensor core utilization, memory bandwidth, and high-throughput vector processing.
03. Provision of Services & Enterprise SLA
Studio 4711 grants Customer a non-exclusive, worldwide, non-transferable right during the applicable subscription term to access and utilize the Services in strict accordance with the Service Level Agreement ("SLA"):
- Availability Benchmark: Studio 4711 commits to a 99.99% Monthly Uptime Percentage for production-tier Runtime Fabric endpoints.
- Maintenance Windows: Routine kernel patches and fabric orchestrations are conducted during declared zero-downtime maintenance windows with redundant cluster failover.
- Service Credits: If the Monthly Uptime falls below 99.99%, Customer shall be entitled to pro-rated Service Credits as defined in the Enterprise SLA Addendum.
04. Access, Workspaces & Security Controls
Access to Studio 4711 workspaces requires mutual TLS (mTLS), SAML 2.0 / OIDC identity federation, or cryptographically signed API authorization keys. Customer maintains primary responsibility for:
- Preserving the confidentiality of master tenant signing keys and service principal credentials.
- Enforcing role-based access control (RBAC) and least-privilege policies across all provisioned workspaces.
- Promptly notifying Studio 4711 Security Operations () in the event of suspected credential compromise or unauthorized workspace access.
05. Acceptable Use Policy (AUP)
Customer agrees not to, directly or indirectly:
- Reverse engineer, decompile, disassemble, or derive underlying source code or proprietary tensor kernels of the Runtime Fabric.
- Circumvent or tamper with rate limiters, token metering hardware counters, or tenant isolation boundaries.
- Deploy payloads designed to launch denial-of-service vectors, extract cross-tenant hardware telemetry, or poison shared cache topologies.
- Utilize the Services in violation of Swiss Federal export control laws, EU dual-use regulations, or applicable international sanctions.
06. Customer Data & Intellectual Property
6.1 Ownership of Customer IP: As between the parties, Customer retains all right, title, and interest (including all patent, copyright, trade secret, and proprietary rights) in and to all Customer Data, fine-tuned model checkpoints, custom evaluation harnesses, and inference outputs.
6.2 Zero-Training Guarantee: Studio 4711 covenants that it shall not use Customer Data, prompts, or model inference payloads to train, retrain, or improve any public, multi-tenant, or foundational AI models, unless expressly agreed upon in a separate mutual research agreement.
6.3 Studio 4711 Technology: Studio 4711 retains sole ownership of all pre-existing software, Forge compiler algorithms, Runtime Fabric container images, architecture patents, and aggregated non-identifiable system performance metrics.
07. Billing, Invoicing & Swiss Value Added Tax
Fees are calculated based on committed tier allocations plus incremental Compute Unit (CU) consumption measured on 60-second intervals. Invoices are issued in Swiss Francs (CHF) or Euros (EUR) and are payable within thirty (30) days from invoice date.
All fees are exclusive of applicable Swiss Value Added Tax (MWST / TVA / IVA) or foreign withholding taxes, which shall be itemized separately on each corporate invoice.
08. Confidentiality & Bank-Grade Security
Each party agrees to protect the Confidential Information of the other party with the same degree of care it uses for its own sensitive data (and no less than reasonable care). Studio 4711 enforces end-to-end cryptographic encapsulation (AES-256-GCM at rest, TLS 1.3 with forward secrecy in transit) and undergoes annual independent SOC 2 Type II and ISO/IEC 27001 audits.
09. Warranties & Disclaimers
Studio 4711 warrants that the Services will perform in material conformity with published technical specifications. Customer acknowledges that probabilistic artificial intelligence systems are non-deterministic in nature, and Customer is responsible for verifying automated outputs before applying them to critical decisions.
10. Limitation of Liability
To the maximum extent permitted by applicable Swiss law (including Article 100 of the Swiss Code of Obligations):
- Neither party shall be liable for indirect, incidental, punitive, or consequential damages, loss of profits, or data corruption.
- Total aggregate liability of either party arising out of or related to this Agreement shall be strictly capped at the total amount paid by Customer to Studio 4711 in the twelve (12) months preceding the incident.
11. Term, Suspension & Decommissioning
Either party may terminate an Order Form for cause upon thirty (30) days' written notice of a material breach. Upon termination, Customer shall have a thirty (30) day retrieval window to export all weights, datasets, and audit logs. Thereafter, Studio 4711 will perform cryptographic erasure of all tenant keys in compliance with NIST SP 800-88 Rev. 1 standards.
12. Governing Law & Place of Jurisdiction
This Agreement and all disputes arising thereunder shall be governed exclusively by the substantive laws of Switzerland, excluding its conflict-of-law principles and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all legal proceedings shall be the ordinary courts of the City of Zurich (Zurich 1), Switzerland. For commercial disputes exceeding CHF 250,000, either party may elect resolution via the Swiss Rules of International Arbitration of the Swiss Arbitration Centre.
